The TSX Venture Exchange has accepted for filing documentation with respect to the first tranche of a non-brokered private placement announced Dec. 15, 2005.

Number of shares: 3,365,000

Purchase price: 15 cents per share

Warrants: 3,365,000 share purchase warrants to purchase 3,365,000 shares

Warrant exercise price: 30 cents for a two-year period

Number of placees: 12

Insider participation: Arthur Gordon-Tydd, 100,000 shares

Pro group participation: Canaccord Capital Corp., in trust for Dan Seiter RRSP, 50,000 shares

Finder's fee: $21,675 payable to Olivia Sze, $2,700 payable to Simon Tam
