Correction to Xemplar Energy Corp. Information Circular

Please be advised of the following correction to the Information Circular distributed by Xemplar Energy Corp. on April 30, 2009:

Page 19, Article “PARTICULARS OF MATTERS TO BE ACTED UPON, Item 2. Stock Option Re-pricing”:

“At the Meeting, the shareholders of the Company will be asked to ratify a directors’ resolution to re-price downward certain stock options held by “insiders” of the Company from the prices stated below to $0.10 per optioned shared.” should read as “At the Meeting, the shareholders of the Company will be asked to ratify a directors’ resolution to re-price downward certain stock options held by “insiders” of the Company from the prices stated below to $1.15 per optioned shared.”

The Directors of the Company wish to express their apologies for any inconvenience caused by this mistake and wishes to thank its thoughtful shareholders for pointing this error out for immediate correction.
